Welcome to EPK by ENJDN. We are ready to help you understand and act on your performance goals.

As you may know, you sit on a mountain of data, but your wearables are often not used to their full potential. EPK ENJDN helps you unlock that potential by providing live data prompts and bespoke metrics based on your personal data so you can stop relying on generic advice from lifestyle influencers. Our service brings together all the pieces of the jigsaw, utilizing a globally accepted, science-based method used by elite athletes. EPK by ENJDN's mission is to empower you to run your body at optimum performance, helping you to live longer, be stronger, and stay more active.

I. General Information and Acceptance of Terms

These Terms of Service (the “Terms”) contain essential terms and conditions regarding your use of our Services and Products, including any materials, data, information, and content available therethrough. PLEASE REVIEW THE TERMS VERY CAREFULLY BEFORE USING OUR SERVICES. We encourage you to contact us at support@enerjarden.com with any questions or concerns before proceeding any further with our Services or Products. We reserve the right to change or modify portions of these Terms at any time, with or without advance notice. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last updated. We will also notify you, either through the EPK by ENJDN app user interface, in an email notification, or through other reasonable means, if material changes were made. Unless otherwise stated in such update, any such changes will become effective immediately. You should periodically visit this page to review the current Terms, so you are aware of any changes. We may require you to provide consent to the updated Terms in a specified manner before further use of the Services is permitted. If you do not agree to these or any future Terms, you agree that your sole remedy is to not, (and you agree you will not) access, browse, or use the Services (or continue to do so). Your continued use of the Services after the date any such changes to the Terms become effective constitutes your acceptance of such changes and consent to the then-applicable Terms.

The Terms incorporate EPK by ENJDN's Privacy Policy by reference in its entirety - as though herein completely stated – and all references to these Terms shall refer, without limitation, to our Privacy Policy, as above-linked. Please accordingly review our Privacy Policy very carefully.

1. Acceptance of Terms & Scope of Services

These Terms and Conditions (the "Terms") constitute a legally binding contract between you and Enerjarden Limited ("we", "us", or "EPK ENJDN"). These Terms govern your access to and use of our services, including but not limited to:
a. your use of the website enjdn.com (the "Site");
b. the EPK ENJDN application and related technologies (the "App"); and
c. any purchases or use of our digital content, products, or subscriptions (collectively, the "Services").

By accessing, browsing, or otherwise making use of our Site, App or Services, you represent that you fully understand and agree to be unconditionally bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Site, App, and Services.

2. Definitions

A. "EPK," "ENJDN," "EPK by ENJDN," the "Company," "us," "our," and "we," all refer to Enerjarden Limited, a company registered in England & Wales, United Kingdom, company number 16582302.

B. "EPK Content" refers to any and all data, information, content, material, and other intellectual property available through our Services in various formats - including but not limited to as algorithms, traffic-light logic, code, data, text, images, multimedia content, designs, graphics, illustrations, photographs, banners, messages, videos, visual interfaces, features, functionalities, and software applications, but specifically excluding Personal Information and User Content.

C. "Claims" refer to claims, disputes, controversies, matters, and causes of action, collectively. A "Claim" refers to any one of the foregoing.

D. "Losses" refers to liabilities, harms, losses, debts, damages, awards, expenses, fees, costs, penalties, and fines, collectively. A "Loss" refers to any one of the foregoing.

E. "Generated Insights" refer to the educational reports, traffic-light states, scores, and guidance inferred and generated by our Services; however, Generated Insights do not include the raw baseline data obtained from independent third-party aggregators or wearable devices.

F. "Party" means each of you and Enerjarden Limited. Collectively, you and Enerjarden Limited are the "Parties."

G. "Payment Information" refers to your financially sensitive information that enables a purchase, such as credit/debit card numbers, CVCs, expiration dates, and PINs, which are processed securely by our third-party payment processors.

H. "Payment Method," refers to a valid, current, accepted means of remitting payment for Services, as permitted by EPK ENJDN - typically by submitting valid, current, accepted Payment Information.

I. "Personal Information" refers to the same term defined in our Privacy Policy, including information relating to an individual's identity, technical browsing data, and Connected Wearable Data, as more specifically described in our Privacy Policy. Personal Information may also include certain Payment Information.

J. "Product(s)" refer to any and all products offered for sale and/or use in connection with our Services, including digital subscriptions and physical items.

K. "Connected Wearable Data" refers to any and all lifestyle, activity, and physiological metrics (such as estimated energy expenditure and recovery states) provided by third-party aggregators and wearables that you explicitly authorize us to process in connection with EPK ENJDN's Services.

L. "Services" refer to any and all services arising out of and/or relating to EPK ENJDN, including without limitation the Site and the App. Our Services include, without limitation:
i. providing convenient access to Generated Insights in conjunction with your Connected Wearable Data and furnishing a detailed, comprehensible, and consumer-friendly educational report relating thereto, and
ii. providing informational content relating to lifestyle. Our Services further include, without limitation, our Site and App, as well as our software applications, text and SMS messages, websites, emails, social media accounts, and the creation, publication, exhibition, and distribution of EPK ENJDN Content.
‍NEITHER EPK by ENJDN NOR OUR AFFILIATES PROVIDE ANY MEDICAL ADVICE, CARE, OR OPINIONS IN CONNECTION WITH OUR SERVICES, AND YOUR USE OF OUR SERVICES DOES NOT ESTABLISH A DOCTOR-PATIENT RELATIONSHIP WITH EPK ENJDN OR OUR AFFILIATES.

M. "User Content" refers to any text, photos, graphics, images, video, audio, multimedia, biofeedback entries, and other materials you create, modify, post, provide, upload, send, and/or share in connection with our Services. User Content specifically does not include any user passwords, contact information, or Personal Information - those items are subject to their own rules, as explained in our Privacy Policy.

N. "You", "you," "your", "yourself," and "User" refers to you, as an individual eighteen (18) years of age or older, plus any entity, individual, and/or organization on whose behalf you are acting in connection with our Services.  

O. "Affiliates" refer to an entity's executives, employees, officers, directors, agents, solicitors, representatives, partners, joint ventures, parents, subsidiaries, successors, and assigns, collectively. An "Affiliate" refers to any one of the foregoing.

3. Eligibility & Age Restrictions

Our Services are intended strictly for adult users. You must be at least eighteen (18) years of age to access the Site, create an account, or purchase a subscription. We do not knowingly collect information from, or offer Services to, anyone under the age of 18. If you are under 18 years of age, you must close your browser and immediately cease all use of our Services.

A. Eligibility to Use Our Services

i. Eligibility: By accessing our Services, you represent that you are of sound mind to agree to our Terms and are in possession of the full legal rights and authorization to:
(a) consent to our Terms;
(b) agree to and pay for any purchase made by you;
(c) authorize all rights and licenses herein granted to Enerjarden Limited and assume all responsibilities, liabilities, and obligations required of you; and
(d) submit any Personal Information and Connected Wearable Data provided in connection with our Services.

As established in Section 1.2, you must be eighteen (18) years of age to make use of EPK ENJDN's Services.

ii. Non-Eligibility: We reserve the right to terminate your use of and access to our Services - and cancel any subscription or purchase thereunder - for any violation of our Terms or any provision of any other agreement between you and Enerjarden Limited. Furthermore, you may not use our Services if you are:
(a) Currently restricted or prohibited from using our Services;
(b) A past, present, or imminent competitor of EPK ENJDN and/or closely connected to one or more of our past, present, or imminent competitors;
(c) Acting on behalf of another person or entity without that person or entity's express permission;
(d) Under a legal obligation that restricts and/or precludes your use of our Services;
and/or (e) Otherwise unwilling to fully agree to and follow all of our Terms.

iii. No Guarantees Regarding Eligibility: While we make every effort to maintain a secure digital environment based on strict eligibility criteria, we make no warranty or representation that every user satisfies our eligibility criteria; there may be ineligible individuals who gain access to and/or use our Services.

iv. Immediate Termination: You agree to close your browser or app and cease all further use of our Services if you are or become ineligible to use these Services. You further agree to email our team at support@enerjarden.com with the subject "End Use" detailing your reason for ceasing all further use.

v. Additional Terms & Conditions: You acknowledge that, in order to purchase and/or use certain Services (such as specific B2B licenses or third-party payment plans like Klarna), we may require you to enter into one or more separate agreements and/or accept additional terms and conditions, which are hereby incorporated by reference into these Terms. To the extent that we require your consent to further terms, you will have the opportunity to review them before proceeding. Insofar as there is any conflict between such additional terms and these Terms, the additional terms will take precedence, but only with respect to such conflicting elements.

B. Limited License & Account Responsibilities‍

i. Your License to Use the Services: As long as you remain eligible and your subscription is active, EPK ENJDN grants you a limited, non-exclusive, non-assignable, non-transferable, and fully revocable license to access and make use of our Services for personal, non-commercial use. Enerjarden Limited reserves the right to suspend or revoke this license at our sole discretion if you violate these Terms.
(a). You acknowledge that this license does not grant you permission to use paid features without first remitting payment.
(b). You are permitted to download or temporarily cache a reasonable volume of EPK ENJDN Content strictly for your personal, non-commercial use, provided you do not remove any proprietary notices.

ii. Account Creation & Accuracy: To use the Services, you must create an Account. You agree to provide truthful, accurate, and up-to-date information during registration and to promptly update your information if it changes.

iii. Account Security: Enerjarden Limited will attribute all actions and usage of your Account to you. To the fullest extent permitted by applicable law, you are solely responsible for maintaining the confidentiality and security of your password and Account information. You agree that Enerjarden Limited and its Affiliates shall not be liable for any compromise of your data or unauthorized access resulting from your failure to protect your login credentials. You must immediately alert us at support@enerjarden.com if you suspect any breach of your Account.

iv. App Store & Mobile Application Terms: Subject to these Terms, we grant you a limited license to install and use the EPK ENJDN Mobile App on a device that you own or control.

‍(a) Apple-Enabled Software: If you download the App via the Apple App Store, you acknowledge that these Terms are concluded between you and Enerjarden Limited only, not with Apple Inc. Enerjarden Limited, not Apple, is solely responsible for the App and its content. Your license is limited by the "Usage Rules" set forth in the Apple Media Services Terms and Conditions. Apple has no obligation to provide maintenance or support for the App. Apple is not responsible for any product warranties, product liability claims, or intellectual property infringement claims regarding the App. You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.

‍(b) Google-Sourced Software: If you download the App via the Google Play Store, you acknowledge that these Terms are between you and Enerjarden Limited only, not with Google, Inc. Google has no obligation or liability to you with respect to the App or these Terms.

v. Electronic Communications: By creating an account, you consent to receive service-related communications from us (such as subscription updates, security alerts, and support messages) via email or in-app notifications. To the extent permitted by UK law, you may also opt-in to receive promotional communications, which you can opt out of at any time by utilizing the "unsubscribe" links provided or updating your profile settings.

vi. Account Deactivation & Survival of Terms:
(a). You may elect to deactivate your account and terminate your agreement to these Terms at any time via your user dashboard or by emailing support@enerjarden.com.
(b). No Automatic Refunds: As outlined in our Refund Policy, deactivating your account or ceasing usage does not automatically entitle you to a credit, refund, or discount.
(c). Survival: Termination of your account shall not prejudice any rights or remedies that accrued prior to termination. All provisions of these Terms that, by their nature, should survive termination shall survive indefinitely. This includes, without limitation, provisions regarding medical disclaimers, assumption of risk, limitation of liability, indemnification, and intellectual property rights.

vii. Identity Verification & Support: To protect the integrity of your Connected Wearable Data and prevent unauthorized access, Enerjarden Limited reserves the right to request reasonable proof of identity (such as verifying email access, answering security questions, or providing matching identification) before assisting with account recovery, subscription modifications, or sensitive support requests. If we cannot definitively verify your identity to our satisfaction, we reserve the right to deny your request to protect the account holder.

II. Educational Use & Medical Disclaimer

EPK ENJDN is an educational data visualization and decision-support platform designed to help you understand your lifestyle and performance metrics. We are not a medical device, and our services do not constitute medical advice, diagnosis, or treatment.

The traffic-light states, scores, and guidance generated by our algorithms are for informational purposes only. You agree that Enerjarden Limited is not liable for any physical injuries, dietary choices, overtraining, or health issues that you may attribute to the use of our platform. Always consult a qualified healthcare professional before making significant changes to your diet, exercise, or lifestyle routines.

1. EPK ENJDN Does Not Provide Any Medical Services

In order to use our Services, you must acknowledge and agree to the following:

A. EPK ENJDN DOES NOT OFFER YOU MEDICAL ADVICE, A DIAGNOSIS, MEDICAL TREATMENT, OR ANY FORM OF A MEDICAL OPINION, THROUGH OUR SERVICES OR OTHERWISE. All material, information, data, and content that EPK ENJDN provides through our Services, including without limitation our Generated Insights and traffic-light states, is strictly for educational and general informational purposes.

B. OUR SERVICES, INCLUDING WITHOUT LIMITATION ANY GENERATED INSIGHTS, ARE NOT A SUBSTITUTE FOR QUALIFIED MEDICAL CARE, QUALIFIED MEDICAL ADVICE, AND/OR A DETAILED DISCUSSION WITH YOUR OWN QUALIFIED HEALTHCARE PROFESSIONAL. We strongly recommend that you seek the advice of your own qualified healthcare professional to assist you in making decisions regarding any personal diagnosis, treatment, lifestyle changes, and/or care - including without limitation in relation to any data, insights, or training guidance we provide - and you agree to follow this recommendation. You covenant that you will not delay in seeking care or otherwise ignore the advice or direction of a qualified medical professional based on your use of our Services. If you are concerned that you may be experiencing a medical emergency, please dial your local emergency services (such as 999 or 112) immediately. You understand and agree that accessing EPK ENJDN Content, Services, and Generated Insights does not create a doctor-patient relationship between you and Enerjarden Limited or any of its Affiliates.

C. To the fullest extent permitted by applicable law, you agree that you use our Services and rely on the materials, data, content, and information you receive in connection with our Services - including without limitation the EPK ENJDN Content and Generated Insights - at your own risk. To the fullest extent permitted by applicable law, Enerjarden Limited disclaims all liability and responsibility arising out of and/or relating to any reliance placed by you and/or any other person on our Services, and/or any data and/or information you receive in connection with our Services, including without limitation data and information relating to your Connected Wearable Data, Generated Insights, and EPK ENJDN Content.

III. Commercial Terms

Your EPK ENJDN membership is an annual subscription that automatically renews to ensure uninterrupted access to your data and reports.

1. Automatic Subscription Renewal

If you purchase an annual subscription to EPK ENJDN, your membership will automatically renew for successive 12-month periods at our then-current renewal rate (which we will notify you of in advance). Your subscription will continue to renew automatically unless you cancel it at least 48 hours before the end of your current billing cycle, in accordance with Section 7 below.

2. Renewal Notices & Pricing

We reward continued commitment. If your initial annual subscription was purchased at full price, your subsequent annual renewals will automatically drop to our reduced loyalty rate. We will send a reminder notice to your registered email address approximately one month (Month 11) prior to your renewal date, outlining the upcoming charge.

Third-Party Payment Plans: If you choose to pay for your annual subscription using a "Buy Now, Pay Later" service (such as Klarna) via our checkout, you are entering into a separate credit agreement with that provider. Your use of such installment plans does not alter the annual, non-refundable nature of your EPK ENJDN subscription. Your subscription will still automatically renew at the end of the annual term unless canceled in accordance with our 48-hour cancellation policy.

3. Cancellation Cutoff (48 Hours)

You may cancel your subscription at any time. However, to prevent automated billing, your cancellation request must be processed before the final 48 hours of your current billing cycle. If you fail to cancel before this 48-hour window, your subscription will automatically renew, and you will be charged for the subsequent year.

How to Cancel: You can cancel directly via your user dashboard, or by emailing our support team at support@enerjarden.com.

4. Failed Payments

If a renewal payment fails (whether via credit card or third-party gateways like Klarna), your access to the app will be immediately suspended until the outstanding balance is cleared.

5. Free Trials and Promotional Offers

From time to time, EPK ENJDN may offer free trials, discount codes, or promotional subscriptions. Please read the specific details of these offers carefully. Unless specified otherwise in writing, all discounted purchases are non-refundable according to our standard refund policy.

If you initiate a free trial or promotional membership, you may be required to have a valid payment method on file. By accepting the promotional offer and creating an account, you agree that if you do not cancel your account with us before the free trial or promotional period expires, your account will automatically convert to a paid, automatically renewing annual subscription, and your payment method will be charged in accordance with our standard billing terms.

6. Pricing and VAT

All subscription fees listed on our Site are inclusive of applicable UK Value Added Tax (VAT) unless otherwise stated. We reserve the right to adjust our pricing, but any price increases will only apply to subsequent billing cycles, and we will notify you in advance.

7. Digital Content & Statutory Right of Withdrawal

Under UK consumer law, you generally have a 14-day right to change your mind and cancel an online purchase. However, because EPK ENJDN provides immediate access to digital content and proprietary data environments, your subscription is governed by Regulation 37 of The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Under this regulation, we can only supply your digital content within the 14-day cancellation period if you expressly consent. By purchasing a subscription and logging into the EPK ENJDN app, you provide this express consent to receive the digital content immediately. You acknowledge and agree that by doing so, you lose your 14-day statutory right of withdrawal, and your initial subscription fee becomes non-refundable.

After forty-eight (48) hours from your initial purchase have passed or after you receive access to our Services in connection with your Subscription, whichever comes first, you will no longer be eligible for a refund for any Service Subscription Fee. Payments for recurring membership periods following your first Subscription period are not refundable.

8. Refund Policy & Usage Caveat

Because our platform provides immediate access to proprietary algorithms and data environments, we operate a strict no-refund policy for active subscriptions outside of our statutory obligations for defective digital goods.

  • Refunds are not provided for "change of mind."
  • Refunds are not provided for partial billing periods.
  • Refunds are not provided if you fail to utilize the app. A lack of usage (e.g., not logging in, not connecting your wearables, or not generating reports) does not entitle you to a refund for the period in which the subscription was available to you.
  • Any discretionary refunds approved by management for exceptional circumstances may take between 5 to 10 business days and up to a maximum of 30 calendar days to process and to appear on your statement.

If you did not purchase your Subscription directly from Us, please refer to the party or method through which you purchased your Subscription for cancellation instructions. Your cancellation generally will take effect at the end of the billing cycle in which you cancel, and you will maintain access to your Account until then.

Service Availability & Third-Party Outages: We strive to keep EPK ENJDN available at all times. However, our platform relies on third-party aggregators, APIs, and wearable ecosystems (such as Apple Health or Garmin). We are not liable for, and do not offer refunds for, temporary service interruptions, missing data, or delayed reports caused by third-party API outages, server maintenance, or your wearable device failing to sync. see article TBC

9. Referral Program Terms

If you participate in the EPK ENJDN Referral Program (the “Referral Program”), the following terms apply in addition to all other provisions of these Terms and our Privacy Policy.

A. Program Modification & Termination: The Referral Program is offered entirely at the discretion of Enerjarden Limited. We reserve the right to terminate, suspend, or modify the Referral Program, the reward structure, or your specific participation at any time, for any reason, effective immediately.

B. Acceptable Use of Referral Codes: If provided with a personal referral code or link ("Code"), it is intended strictly for you to share directly with your personal network (friends, family, and colleagues).

  • No Commercial Exploitation: You must not post your Code on coupon-sharing websites, discount aggregators, or commercial media properties.
  • No Spamming: You must not utilize bots, automated dialers, or mass-distribution email/SMS campaigns to circulate your Code in violation of the UK Privacy and Electronic Communications Regulations (PECR) or other applicable anti-spam laws.
  • Transparency: In compliance with UK Advertising Standards Authority (ASA) guidelines, you must clearly disclose that you may receive a reward if the recipient uses your Code (e.g., by stating "This is a referral link").

C. Qualifying Referrals & Rewards: You may be eligible to receive a reward (a "Referral Reward") for each "Qualifying Referral." A Qualifying Referral is an individual who: (i) does not currently have and has never previously had an EPK ENJDN account; (ii) clicks your specific Code to purchase a new subscription; and (iii) maintains an active, paid account past any applicable cooling-off or trial period.

  • Discretionary Rewards: The type and amount of the Referral Reward (whether account credit, subscription discount, or cash equivalent) is determined solely by Enerjarden Limited.
  • Limitations: Referral Rewards are strictly payable on a Qualifying Referral’s initial membership purchase, not on their subsequent renewals. Rewards have no cash value (unless expressly stated otherwise by us) and cannot be sold or transferred.

D. Fraud & Clawbacks: Enerjarden Limited's internal tracking will be the sole source of truth for determining Qualifying Referrals. We reserve the right to withhold, cancel, or claw back any Referral Rewards if we determine, in our sole discretion, that they were generated through fraud, self-referral, technical manipulation, or any breach of these Terms.

E. Disclaimer of Warranties:We make no guarantee that the Referral Program will be error-free. We are not liable for any technical malfunctions, tracking failures, or acts of third parties that result in the improper tabulation or loss of a Referral Reward.

IV. Intellectual Property & Acceptable Use

All algorithms, traffic-light UI systems, code, educational content, and report designs within the EPK ENJDN platform are the exclusive intellectual property of Enerjarden Limited.

  • You are granted a limited, personal, non-exclusive license to use the platform for your own educational purposes.
  • You may not scrape, reverse-engineer, copy, or distribute our proprietary systems.
  • Commercial Ban: You may not use your personal EPK ENJDN account to provide commercial coaching, fitness, or nutritional consulting services to third parties. (B2B commercial licenses are available by contacting our corporate team at hello@enerjarden.com).
  • Violation of these terms will result in immediate account termination without a refund.

1. User Representations, Warranties, & Covenants

A. Prohibition on Commercial Exploitation: You covenant and agree that you shall not sell, rent, lease, license, sublicense, copy, modify, reverse-engineer, recreate, distribute, publish, exploit, or create derivative works from the EPK ENJDN Content, our algorithms, our traffic-light logic, or our Services, in whole or in part, without the prior express written consent of Enerjarden Limited. You represent and warrant that you have not engaged in any such unauthorized commercial activities prior to agreeing to these Terms.

B. No Unauthorized Resale: You covenant that you will not directly or indirectly resell, redistribute, or export any aspect of our Services, including without limitation our Generated Insights, data visualizations, educational materials, or proprietary reports. The subscription granted to you is strictly for your personal, individual use.

C. Authorized Use & Account Integrity: You represent and warrant that you are accessing the Services for your own personal educational use and not acting surreptitiously on behalf of an insurance provider, employer, or third-party entity seeking unauthorized surveillance or commercial advantage. If you are a personal trainer, corporate wellness manager, or coach wishing to utilize EPK ENJDN with clients or employees, you must obtain a separate, authorized B2B or commercial license from Enerjarden Limited by contacting our corporate team at hello@enerjarden.com.

D. Trade Sanctions & Compliance: You represent and warrant that:
i. you are not located in, under the control of, or a national or resident of any country subject to comprehensive UK, EU, or applicable international trade sanctions; and
ii. you are not listed on any UK Sanctions List maintained by the Office of Financial Sanctions Implementation (OFSI) or equivalent international restricted-party lists.
You covenant that you will not access or use the Services in violation of applicable export control or sanctions laws.

2. Acceptable Use, Anti-Scraping, & User Content

A. General Rules of Access: Your access to our Services is contingent upon fair and reasonable use. You agree to provide complete, truthful, and up-to-date information, to not disrupt our technological infrastructure, and to respect our intellectual property and the rights of other users.

B. Prohibited Conduct: You represent and warrant that you shall not use our Services to directly or indirectly engage in, encourage, or assist any of the following:

  • A violation of any local, national, or international law, rule, or regulation.
  • Fraud, misrepresentation, impersonation, or identity theft.
  • The deliberate submission of false, misleading, or manipulated data (including manipulated Connected Wearable Data).
  • Harassment, intimidation, stalking, hate speech, threats of violence, or any other abusive conduct.
  • An effort to offer or render professional advice (e.g., medical, clinical, or financial) to third parties using our platform, unless specifically authorized under a separate B2B license.
  • Any implication of an affiliation with, or endorsement by, EPK ENJDN without our express written consent.

Enerjarden Limited reserves the right to investigate and take appropriate legal action against anyone who violates this provision, including terminating your Account without a refund and reporting you to law enforcement authorities.

C. System Integrity & Malware: You shall not introduce or circulate malicious content, code, files, or programs, including but not limited to viruses, spyware, worms, Trojan horses, or keystroke loggers. You shall not engage in phishing, harvesting, spamming, or any conduct that impairs, disrupts, or overburdens the proper working order of our technologies, systems, or third-party API integrations (such as those connecting to Apple Health or other wearable technologies). You shall not attack our Services via a denial-of-service (DoS) or distributed denial-of-service (DDoS) attack.

D. Anti-Scraping & Reverse Engineering: Under no circumstances shall you decompile, disassemble, reverse engineer, duplicate, or otherwise attempt to derive the source code, algorithms, or traffic-light logic of our Services. Furthermore, you shall not:

  • Index, copy, extract, download, or scrape any EPK ENJDN Content using a spider, data miner, crawler, robot, or similar automated tool (except for operators of public search engines strictly assisting in legitimate public indexing).
  • Utilize framing or mirroring techniques to enclose any EPK ENJDN Content, logos, or trademarks.
  • Circumvent, disable, or bypass any digital rights management or security systems we deploy.

E. User Content & Usage Data License: You represent and warrant that you own all rights to any manual text, feedback, or entries you submit to the platform ("User Content"). By submitting User Content, you grant Enerjarden Limited a nonexclusive, worldwide, royalty-free, perpetual, and irrevocable license to copy, display, store, modify, and use your User Content to operate and provide the Services.

Furthermore, you authorize Enerjarden Limited and its service providers to derive statistical and usage data relating to your use of the Services ("Usage Data"). We may use this Usage Data - provided it is aggregated and de-identified in accordance with UK data protection laws and our Privacy Policy - to improve our algorithms, enhance the Services, develop new offerings, and for marketing purposes. You and you alone are responsible for your User Content, and Enerjarden Limited shall not be liable for any losses arising from it.

3. Reservation of Rights & Intellectual Property

A. Right to Modify Services & Terms: At any time, for any reason, in our sole discretion, Enerjarden Limited reserves the right to update, improve, modify, limit, suspend, or discontinue any aspect of our Services - including features, algorithms, availability, and pricing. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
i. We reserve the right to modify these Terms at any time. In the event of material revisions, your continued use of our Services will constitute your unconditional acceptance of the revised Terms.
ii. We reserve the right to refuse, suspend, terminate, or ban access to our Services to any person, at any time, in our sole discretion, without liability for any losses arising therefrom.

B. Communications: To the extent permitted by applicable law, we reserve the right to decide how we will contact you regarding service messages (e.g., email, push notifications, or in-app banners). You agree that any reasonable means of contact selected by us shall suffice for adequate notice.

C. Intellectual Property Ownership: To the fullest extent permitted under law, all EPK ENJDN Content - including algorithms, code, text, graphics, designs, and traffic-light UI - and all copyright, trademark rights, and other intellectual property rights arising out of the Services are owned exclusively by Enerjarden Limited or our licensors. They are protected by United Kingdom and international intellectual property laws.
i. You acknowledge that all names, logos, brands, and trademarks (including but not limited to "EPK ENJDN" and "Enerjarden") belong exclusively to us.
ii. Nothing in these Terms grants you any right or license to make use of any names, logos, designs, or other EPK ENJDN Content without our prior express written consent.

D. No Royalties for Data or Feedback: Enerjarden Limited reserves any and all rights not expressly granted by these Terms. Your provision of Connected Wearable Data, Personal Information, or User Content does not afford you any right, title, or interest in any research, algorithms, or product developments created by Enerjarden Limited. You acknowledge that you shall not receive any financial benefits, royalties, or compensation by virtue of providing such data.

E. License to User Content & Submissions: If you provide any suggestions, ideas, recommendations, feedback, or public submissions ("Submissions") to us, you grant Enerjarden Limited a perpetual, irrevocable, non-exclusive, royalty-free, fully transferable worldwide license to use, reproduce, modify, publish, and commercialize that content in any manner we wish.
i. You waive any moral rights (including rights of attribution) in connection with your Submissions.
ii. You recognize that we may already be developing products, features, or algorithms that are substantially similar to your Submissions, and you hold no claim over such developments.

4. How We Use Your Information & Wearable Data

A. Privacy Policy Integration: Our data collection, storage, and processing practices are governed strictly by our Privacy Policy. By accepting these Terms, you acknowledge and agree that our Privacy Policy is incorporated by reference in its entirety.

B. Wearable Data Authorization: In furtherance of providing you with our Services, you may choose at your own accord to expressly authorize Enerjarden Limited to connect to, pull, and process Connected Wearable Data from third-party aggregators and devices (such as Apple Health, Garmin, or Google Fit, or similar platforms) that you explicitly choose to link to your Account. We do not store any medical records; we process the lifestyle and physiological metrics provided by these third parties to furnish your Generated Insights.

5. Third-Party Services, APIs, & Disclaimers

During the course of using our Services, you will interact with or rely on third-party providers. This includes payment processing providers (e.g., Stripe, Klarna) and data ecosystems (e.g., Apple Health, etc). PLEASE CAREFULLY REVIEW THESE DISCLAIMERS AND LIMITATIONS OF LIABILITY WITH RESPECT TO THIRD-PARTY SERVICES.

A. NO WARRANTY FOR THIRD-PARTY DATA OR UPTIME: NEITHER ENERJARDEN LIMITED NOR OUR AFFILIATES MAKES ANY WARRANTY OR REPRESENTATION REGARDING THE AVAILABILITY, ACCURACY, RELIABILITY, OR TIMELINESS OF ANY THIRD-PARTY WEARABLE DEVICE, API, OR AGGREGATOR. We are not responsible if your smartwatch records inaccurate data, nor are we liable if a third-party platform goes offline, changes its API rules, or temporarily prevents EPK ENJDN from syncing your Connected Wearable Data.

B. FULL RELEASE OF THIRD-PARTY LIABILITY: YOU ACKNOWLEDGE AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ENERJARDEN LIMITED SHALL HOLD NO LIABILITY OR RESPONSIBILITY WITH RESPECT TO ANY THIRD-PARTY PRODUCT, ALGORITHM, OR SERVICE. YOU AGREE TO RELEASE ENERJARDEN LIMITED AND HOLD US HARMLESS FROM ANY CLAIM ARISING OUT OF OR RELATING TO:
i. Inaccurate data or faulty metrics provided by your chosen wearable device;
ii. Any decisions you make based on Generated Insights that were influenced by faulty third-party data;
iii. Any third-party physical products or devices you purchase or use in connection with our Services.

C. NO CONTROL OVER THIRD-PARTY POLICIES: You acknowledge that Enerjarden Limited has no control or authority over any third party's Terms of Service, Privacy Policy, or data practices. This includes how Apple, your wearable devices, Klarna, or Stripe collect, store, and use your Personal Information. You agree to release us from any claims arising out of a third party's data breach or privacy violation. We strongly recommend that you carefully review the legal policies of any third-party device or service you may choose to connect to EPK ENJDN.

D. USER CONTENT & THIRD-PARTY CONTENT AUDITING: Enerjarden Limited does not guarantee that we will audit, analyze, or review User Content before it goes live shared with our proprietary app EPK ENJDN. We are not responsible for what is published or fed into the EPK ENJDN app as User Content by you or others, and we are under no obligation to edit or control it. However, we reserve the right to delete any User Content at any time, for any reason, without notice or consent.

6. Assumption of Risk & User Data Obligations

A. Assumption of Risk regarding Insights & Guidance: You acknowledge and agree that, to the fullest extent permitted by applicable law, you assume all risk, liability, and responsibility for determining whether our Services are appropriate, safe, and suitable for your specific needs. You are solely responsible for deciding whether to make use of our Generated Insights and whether (and to what extent) to follow any lifestyle guidance provided. You agree to release and hold harmless Enerjarden Limited in connection with any personal decisions you make regarding your health, fitness routines, or lifestyle based on the use of our Services.

B. Responsibility for Data Syncing & Manual Inputs: Because EPK ENJDN's algorithms rely entirely on the data you provide, you assume full responsibility for your acts and omissions regarding data entry. We provide the option to automate data flow via third-party wearables or to manually input your data.

  • Failure to Sync: If you forget to log in, fail to turn on automatic syncing, or forget to manually sync your connected device, our app cannot provide accurate Services.
  • Manual Input Errors: If you choose to manually input your data and provide incorrect, outdated, or incomplete information, the Generated Insights will be inherently flawed.

You acknowledge and agree that Enerjarden Limited is not liable for any incorrect traffic-light states, flawed Generated Insights, or missing reports resulting from your failure to sync your devices or input your data accurately and regularly.

C. Physical Capability & Health Status: You represent that you have carefully assessed whether our Services and training methodologies are safe for your personal use. Furthermore, you represent and warrant that you are physically capable and healthy enough to use our Services. If you have, or later develop, a medical condition, injury, or disability that could be impacted by changes to your diet, lifestyle, or training routine, you represent and warrant that a licensed medical professional has expressly approved your use of the EPK ENJDN platform.

7. Limitation of Liability & Indemnification

A. Limitation of Liability: To the fullest extent permitted by applicable UK law, you agree that Enerjarden Limited, its directors, employees, affiliates, and partners (the "EPK Parties") shall not be liable to you or any third party for any indirect, consequential, incidental, reliance, or special damages. This includes, without limitation, loss of revenue, loss of profits, loss of data, loss of business opportunity, harm to reputation, or technical malfunctions arising out of or relating to your use of the Services or our Generated Insights.

B. Liability Cap: If you are dissatisfied with the Services, your sole and exclusive remedy is to discontinue your use of the app and cancel your subscription. To the fullest extent permitted by law, the maximum aggregate liability of the EPK Parties for any claims arising under these Terms shall be limited to the greater of: (i) £100.00 GBP, or (ii) the total amounts actually paid by you to Enerjarden Limited for the Services in the twelve (12) months immediately preceding the claim.

C. Statutory Exceptions (UK Law): Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be legally limited or excluded under applicable English law.

D. Indemnification (Your Obligation to Protect Us): To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold the EPK Parties harmless from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use, misuse, or inability to use the Services.
  • Your violation of any of these Terms, including any breach of your representations and warranties.
  • Any decisions, acts, or omissions taken by you (or your clients or employees, if applicable) as a result of relying on our Generated Insights, traffic-light states, or educational content.
  • Any User Content or manual data you submit to the platform.
  • Your violation of any third-party rights, including privacy or intellectual property rights.

We reserve the exclusive right to control the defense and settlement of any claim subject to indemnification by you, at your expense, and you agree to fully cooperate with our defense.

E. Waiver of Injunctive Relief: You agree that you shall not, directly or indirectly, seek to enjoin, restrain, or otherwise interfere with the operation, development, or provision of the EPK ENJDN Services. You acknowledge that your only remedy for a dispute is monetary damages, subject to the caps outlined above.

8. General Waivers & Disclaimers

To the maximum extent allowed under applicable law, you hereby agree to all of the following disclaimers and waivers in their entirety:

A. Services Provided "As Is" and "As Available": The EPK Parties provide the Services, Products, and EPK Content on an "as is," "with all faults," and "as available" basis, without any warranty of any kind, whether express or implied. We make no warranty that (i) the Services will meet your exact requirements; (ii) the Services will be uninterrupted, timely, secure, or error-free; or (iii) the Generated Insights, traffic-light states, or any other content provided will be 100% accurate, up-to-date, or reliable. This paragraph applies to all material, data, and insights derived from your Connected Wearable Data.

B. No Medical or Clinical Warranties: Though certain aspects of the EPK ENJDN Content and training methodologies may be developed or recommended by fitness professionals or coaches, neither Enerjarden Limited nor our Affiliates offer you medical advice, diagnosis, treatment, or care. We make no warranty regarding the efficacy, results, or safety of following any specific feedback or guidance provided by the App.

C. Data Security & Technical Interruptions: While EPK ENJDN implements robust, industry-standard safeguards to reasonably protect the security and integrity of your Personal Information, we cannot guarantee that our technologies will be 100% safe from unauthorized access, hacking, malware, or distributed denial-of-service (DDoS) attacks. We disclaim all liability arising out of the unauthorized access, corruption, or loss of your data, except to the extent it results from our sheer recklessness or intentional misconduct. Your transmission of data to and from our Services is at your own risk.

D. Reliance on Connectivity & Speed: You acknowledge that your accessibility, visibility, and speed of use of the App may be impacted by external factors such as your location, internet connection, device type, and third-party wearable Bluetooth/syncing capabilities. We shall not be liable for the unavailability of our Services due to these external factors.

9. Governing Law & Jurisdiction

A. Choice of Law: These Terms, and any dispute, controversy, or claim arising out of or relating to our Services, Products, or these Terms (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

B. Jurisdiction and Venue: You and Enerjarden Limited irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or your use of the Services. (Note: If you are a consumer residing in Scotland or Northern Ireland, you may also bring proceedings in your local courts under applicable UK consumer protection laws).

C. UK Operations & International Access: Enerjarden Limited is registered in and operated from the United Kingdom. We make no representation that our Services, Generated Insights, or EPK ENJDN  Content are appropriate, legally permitted, or available for consumption in jurisdictions outside of the United Kingdom. If you choose to access the Services from outside the UK, you do so at your own risk and are solely responsible for compliance with local laws. Furthermore, if you reside outside of the UK, you acknowledge and consent to the transfer and processing of your Personal Information and Connected Wearable Data within the United Kingdom, which may have different data protection regulations than your country of residence.

D. Dispute Resolution: Enerjarden Limited is committed to resolving customer concerns amicably and efficiently. Before initiating any formal legal proceedings, you agree to participate in good-faith informal efforts to resolve any dispute. You must first notify us in writing by emailing a detailed description of your complaint to support@enerjarden.com.

Upon receiving your notice, both parties agree to negotiate in good faith to resolve the dispute. If the dispute is not resolved satisfactorily within thirty (30) calendar days of our receipt of your notice, either party may then proceed to formally resolve the claim through the courts of England and Wales.

10. Copyright Infringement & Takedown Policy

Enerjarden Limited respects the intellectual property rights of others. If you believe that your copyrighted work appears on our Services in a way that constitutes copyright infringement, please notify us by emailing support@enerjarden.com with the subject line "Copyright Infringement Notice" and include the following information:

  • An electronic or physical signature of the copyright owner or a person authorized to act on their behalf.
  • A clear description of the copyrighted work that you claim has been infringed.
  • A description of where the allegedly infringing material is located on our Services (e.g., a specific URL or app screenshot).
  • Your address, telephone number, and email address.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

We reserve the right to remove or disable access to any content claimed to be infringing, at our sole discretion, without prior notice and without liability to the user who originally submitted it. If you believe your content was removed as a result of an improper infringement claim, you may submit a counter-notice containing a detailed explanation to the same email address.

V. Miscellaneous Boilerplate

1. Assignment & Transfer: You may not assign, delegate, sell, or transfer any of your rights or obligations under these Terms without the prior express written consent of Enerjarden Limited. Any attempted assignment by you will be null and void. However, Enerjarden Limited may freely assign, delegate, sell, or transfer our rights and obligations under these Terms - including without limitation in the event of a sale, merger, acquisition, or other change of control - without notice or consent.

2. Force Majeure (Events Outside Our Control): Enerjarden Limited shall not be liable or deemed to have defaulted under these Terms for any failure or delay in fulfilling our Services resulting from factors beyond our reasonable control. This includes, without limitation, severe natural disasters, extreme weather events, global internet outages, slowdowns of third-party APIs (e.g., Apple), strikes, health crises, acts of warfare, and actions taken by government agencies.

3. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

4. Translation & Interpretation: Any translation of these Terms or the EPK ENJDN Content is provided merely as a convenience. In the event of a dispute, the English version shall control. Headings are for convenience only and have no legal effect. These Terms shall be construed as if drafted jointly by the Parties, and no presumption shall arise favoring or burdening either Party by virtue of authorship.

5. No Waiver: No waiver of any right or term under these Terms is effective unless it is in writing and signed by an authorized representative of Enerjarden Limited. Our failure to strictly enforce any term or condition on one occasion shall not be construed as a waiver of our right to enforce it in the future.

6. Notices: All legal notices, requests, consents, and claims from you to Enerjarden Limited must be in writing and sent to support@enerjarden.com (or to our registered company address). We will send notices to you via the email address associated with your Account.

7. Third-Party Rights: Except as expressly provided otherwise, these Terms benefit solely you and Enerjarden Limited. Nothing in these Terms confers on any other person or entity any legal or equitable right, benefit, or remedy under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

8. Entire Agreement: These Terms, our Privacy Policy, and any separate B2B or commercial licenses you have entered into with us, collectively constitute the entire agreement between you and Enerjarden Limited. They supersede all prior and contemporaneous agreements, representations, and understandings (whether oral or written) regarding our Services.
